SQUAW VALLEY SUMMER/FALL SPORTS ACTIVITIES RELEASE OF LIABILITY AND INDEMNITY AGREEMENT

\r\n

I or my child (collectively, \"I,\" \"me,\" or \"my\") have voluntarily applied to participate in summer activities and/or other recreational activities, including ice skating, roller skating, roller blading, hiking, in mountain terrain (with or without a guide), use of the lagoon/pool/spa, yoga, tennis, broomball, hockey, biking, use of zip fines, use of slack lines, use of climbing wall, climbing, dry land training (on-site or off-site), photo shoots, Frisbee golf, and/or participation in special events at Squaw Valley (collectively, \"the activities\"). I understand that my participation in the activities poses risks of INJURY and DEATH to me and/or my property, including those that might be associated with participation in the activities or use of the facilities at Squaw Valley, which include, but are not limited to, High Camp premises, chairlifts, gondolas, Funitel, Aerial Tram, or other mountain transportation, as well as participation in instruction, racing, special events, and participating in the activities beyond the ski area boundary (collectively, \"use of the facilities\").

\r\n

The risks in the activities and use of the facilities are too numerous to list, but they include steep, slippery, and uneven roads and trails containing rocks, trees, ledges, sand, mud, grass, water bars, bumps, ruts, stumps, and brush (all of which can be hidden or obscured by vegetation). The risks also include equipment failure, and collisions with others, mountain vehicles, or other natural and manmade objects. Falls are common while participating in the activities and using the facilities. Always use caution and walk your equipment when conditions warrant. Biking equipment must be in good condition, but can develop problems on the trail. When in doubt, walk! Be aware that even minor injuries can become life threatening when they occur far away from rescue personnel or when alone. Trails and roads are not patrolled and it may take a significant amount of time for rescue personnel to locate and reach an injured person. Despite the risks involved, I AGREE TO EXPRESSLY ASSUME ALL RISKS OF INJURY OR DEATH that might be associated with participation in the activities or use of the facilities.

\r\n

As consideration for being permitted to participate in the activities and use the facilities, I AGREE TO RELEASE FROM ANY LEGAL LIABILITY AND AGREE NEVER TO SUE Squaw Valley Resort, LLC, Squaw Valley Real Estate, LLC, Squaw Valley Ski Holdings, LLC, Squaw Creek Associates, LLC, and their owners, investors, officers, directors, lenders, managing agents, employees, agents, landowners and all affiliated companies (\"Squaw Valley\") for injury or death resulting from my participation in the activities or use of the facilities, regardless of the cause, to the fullest extent allowed by law, including the alleged NEGLIGENCE of Squaw Valley. I further AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS Squaw Valley for any claims, lawsuits, damages, attorney fees, costs or judgments arising out of my participation in the activities or use of the facilities. I also agree to indemnify Squaw Valley for any and all claims brought by a third party which arise from my participation in the activities or use of the facilities.

\r\n

I UNDERSTAND THIS IS A RELEASE OF LIABILITY THAT IS VALID whenever I choose to participate in the activities or use the facilities at Squaw Valley. I understand that this release of liability will prevent me, my child, or my heirs from filing suit or making any claim for damages in the event of injury or death from my participation in the activities. Additionally, in the event I file or my child or my legal representative files a claim or a lawsuit arising out of participation in the activities or the use of the facilities at Squaw Valley, I AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS Squaw Valley for any damages, attorney's fees or costs arising out of such a claim or a lawsuit. With a full understanding of this agreement, I nevertheless enter into this agreement freely and voluntarily and agree that it is binding upon me, my child, my heirs, assigns and legal representatives, and any other person acting on my behalf.

\r\n

Any pass/ticket received in conjunction with this agreement is not transferable and may only be used by the participant. If I am provided with or rent equipment with the activities, I accept the equipment \"as is\" and accept full responsibility for the care of the equipment while in my possession. I agree that I am responsible for the full replacement value of equipment not returned. I agree to pay for any damage that exceeds normal wear and tear.

\r\n

Squaw Valley routinely takes photographs and videos of the ski area for promotional materials and patrons may be depicted in these photographs. I grant exclusive permission to Squaw Valley to use my image or likeness in photographs and/or video for the purpose of publicity, public relations, or other advertising purposes without compensation and without restriction as to frequency and duration. If I am a PHOTOGRAPHER, I understand that images I take at Squaw Valley and provide to Squaw Valley may be used by Squaw Valley at any time.

\r\n

I warrant and represent that I am in good health and there are no special problems associated with my health. I accept responsibility for any medical expenses incurred in connection with the activities or use of the facilities.

\r\n

I understand and agree that this agreement is severable and that if any clause is found to invalid, the balance of the contract will remain in effect, valid, and enforceable. I agree that any action will be brought in Placer County, California, or alternatively, in a court of competent jurisdiction in California. Any disputes will be subject to and determined under the laws of California.

\r\n

THIS IS A RELEASE OF LIABILITY - DO NOT SIGN IT UNLESS YOU AGREE TO BE BOUND BY ALL OF ITS TERMS

SQUAW VALLEY SUMMER/FALL SPORTS ACTIVITIES RELEASE OF LIABILITY AND INDEMNITY AGREEMENT

I or my child (collectively, "I," "me," or "my") have voluntarily applied to participate in summer activities and/or other recreational activities, including ice skating, roller skating, roller blading, hiking, in mountain terrain (with or without a guide), use of the lagoon/pool/spa, yoga, tennis, broomball, hockey, biking, use of zip fines, use of slack lines, use of climbing wall, climbing, dry land training (on-site or off-site), photo shoots, Frisbee golf, and/or participation in special events at Squaw Valley (collectively, "the activities"). I understand that my participation in the activities poses risks of INJURY and DEATH to me and/or my property, including those that might be associated with participation in the activities or use of the facilities at Squaw Valley, which include, but are not limited to, High Camp premises, chairlifts, gondolas, Funitel, Aerial Tram, or other mountain transportation, as well as participation in instruction, racing, special events, and participating in the activities beyond the ski area boundary (collectively, "use of the facilities").

As consideration for being permitted to participate in the activities and use the facilities, I AGREE TO RELEASE FROM ANY LEGAL LIABILITY AND AGREE NEVER TO SUE Squaw Valley Resort, LLC, Squaw Valley Real Estate, LLC, Squaw Valley Ski Holdings, LLC, Squaw Creek Associates, LLC, and their owners, investors, officers, directors, lenders, managing agents, employees, agents, landowners and all affiliated companies ("Squaw Valley") for injury or death resulting from my participation in the activities or use of the facilities, regardless of the cause, to the fullest extent allowed by law, including the alleged NEGLIGENCE of Squaw Valley.

Any pass/ticket received in conjunction with this agreement is not transferable and may only be used by the participant. If I am provided with or rent equipment with the activities, I accept the equipment "as is" and accept full responsibility for the care of the equipment while in my possession. I agree that I am responsible for the full replacement value of equipment not returned. I agree to pay for any damage that exceeds normal wear and tear.

I warrant and represent that I am in good health and there are no special problems associated with my health. I accept responsibility for any medical expenses incurred in connection with the activities or use of the facilities.
